Website Terms of Use

These Terms govern access to and use of illumisoft.com(the “Site”), operated by Illumisoft Lighting Corp. (“Illumisoft,” “we,” or the “Company”). By using the Site, you agree to these Terms. If you do not agree, discontinue use.

Purpose and scope

The Site provides company, product, technology, news, and investor information. These Terms govern website use only. Product purchases, services, and warranties are governed by their applicable agreements and terms.

Permitted use

You may use the Site for lawful personal and internal business informational purposes. You must not:

  • Disrupt the Site or compromise its security.
  • Attempt unauthorized access to systems or data.
  • Use automated tools in a manner that interferes with Site operation or unlawfully collects personal information.
  • Submit unlawful, fraudulent, or abusive content.
  • Misrepresent your identity or affiliation with the Company.

We may restrict access where reasonably necessary to address misuse, security risks, or legal requirements.

Intellectual property

Site content is owned by the Company or its licensors and protected by applicable intellectual property laws.

You may download and share materials expressly made available for distribution, including investor presentations and product sheets, provided they remain unaltered, retain all attribution and notices, and are not presented in a misleading manner.

Other reproduction, modification, commercial redistribution, or use of Company branding requires prior written permission, except as permitted by law. No ownership rights are transferred through use of the Site.

Product and investor information

Product information must be read with current labeling, specifications, installation instructions, and applicable regulatory requirements. Website summaries do not replace those materials or modify contractual product warranties.

Investor information does not constitute investment, legal, or tax advice, an offer to sell securities, or a solicitation to purchase securities. Review the Company's filings on SEDAR+ and the notices on our Disclosure page.

Privacy and submissions

Our Privacy Policy explains how we collect, use, and disclose personal information.

Submit only information you are authorized to provide. Do not send confidential business information or sensitive personal information through general website forms or unsolicited email. Unsolicited submissions do not, by themselves, establish a confidentiality agreement. This does not limit our obligations under applicable privacy law or an existing agreement.

Third-party websites and content

The Site may link to independently operated websites. We do not control their content, availability, or privacy practices. A link does not, by itself, constitute endorsement.

Third-party materials should be read with their attribution and any sponsorship or relationship disclosures. Nothing in these Terms excludes responsibility imposed by law for content the Company publishes or distributes.

Website availability and warranties

The Site is provided “as is” and “as available.” To the extent permitted by law, we disclaim implied warranties and conditions concerning website use, including merchantability, fitness for a particular purpose, and non-infringement.

We do not guarantee uninterrupted, error-free, or secure access. These disclaimers relate to website use and do not override express product warranties, contractual commitments, or applicable statutory obligations.

Limitation of liability

To the extent permitted by law, the Company and its directors, officers, employees, and agents are not liable for indirect, incidental, special, or consequential losses arising from use of, or inability to access, the Site.

This limitation does not apply to fraud, wilful misconduct, gross negligence, or any liability that cannot lawfully be excluded or limited.

Nothing in these Terms waives or restricts rights or remedies that cannot be waived under applicable law, including securities, privacy, and consumer protection laws, or limits the Company's statutory disclosure obligations.

Governing law

These Terms are governed by the laws of Ontario and the federal laws of Canada applicable therein. Subject to mandatory applicable law, disputes arising from these Terms or use of the Site are subject to the exclusive jurisdiction of the courts of Ontario.

Changes

We may revise these Terms by posting an updated version with its effective date. Revisions apply prospectively. Where required by law, we will provide additional notice or obtain consent. Otherwise, continued use after the effective date constitutes acceptance of the revised Terms.

Severability

If any provision is found unenforceable, it will be ineffective to that extent, and the remaining provisions will continue in effect.
